Position Description:

The Executive Administrative Assistant serves as a key support role, providing high-level administrative assistance to the Board of Directors and elected officers across all corporate entities.

This position is critical in ensuring smooth and efficient executive operations, managing sensitive communications, coordinating complex schedules, organizing Board and executive meetings, and maintaining essential corporate records.

The ideal candidate brings exceptional organizational skills, professionalism, and discretion, along with a proactive mindset and the ability to communicate effectively with internal and external stakeholders at all levels.

Essential Duties and

Responsibilities Board Support Coordinate the preparation and dissemination of Board meeting materials for all corporate entities.

Plan and coordinate Board meetings and manage logistics such as meeting schedules, director travel arrangements, day of oversight, director compensation, director expenses.

Serve as the primary point of administrative contact for external directors, addressing inquiries and providing necessary information.

Administrative Support to Elected Officers Provide comprehensive administrative support to elected officers, including managing calendars, scheduling appointments, and handling correspondence.

Organize and coordinate travel arrangements, ensuring all logistics are efficiently managed.

Assist in the preparation of reports, presentations, and other documents as required.

Provide documentation to external parties such as regulators and external auditors.

Serve as a back-up to legal functions such as receiving service of process and compliance matters.

General Administrative Duties Maintain official corporate records including certificates of authority, Board meeting minutes and Board meeting materials.

Maintain and organize files, records, and documentation, ensuring confidentiality and security and retention in accordance with the organization's retention guidelines.

Handle incoming and outgoing communications, including phone calls, emails, and mail.

Perform other administrative tasks as needed to support the executive team.

Additional

Responsibilities May provide administrative support to others in the organization Performs other duties as may be assigned by the SVP Legal, Secretary & General Counsel and/or the executive team.

Special Relationships Direct contact with all members of senior management, all levels of internal positions, as well as board members, vendors and external contacts.

Qualifications

Education/Credentials High school diploma required.

Experience Minimum of 5 years' prior experience as an executive administrative assistant or in a similar role.

Prior experience supporting executive management and Board of Directors is highly preferred.

Technical/Professional Knowledge Excellent organizational and time-management skills.

Strong interpersonal skills and the ability to work effectively with a variety of stakeholders.

Proficiency in all Microsoft Office Suite applications. (

Experience with Diligent Boards or other electronic Board portal preferred.) Strong problem-solving skills with the ability to anticipate needs and proactively address issues.

Ability to maintain a high level of professionalism and confidentiality in all interactions and communications.

Ability to adapt to changing priorities and work effectively in a dynamic environment.

Job Requirements (as required by ADA Americans with Disabilities Act) This position is primarily a sedentary position that requires occasional standing and walking throughout the office environment.

Must be able to see and effectively use a computer monitor.

Must be able to operate a computer, keyboard and applicable printers and other general office equipment.

Must be able to access and enter information accurately using automated systems.

Must be able to hear and communicate via the telephone and/or monitoring devices to both internal and external clients.

Must be able to present information to individuals and groups.

Must be able to interpret and apply concepts that may or may not be based upon established guidelines.
